What you'll build
What you will be able to do
Each lab ends with a concrete result that you build yourself and the checker confirms, cell by cell.
- Value a robotics start-up with the venture capital method: exit value, required return, ownership, post- and pre-money valuation.
- Build a cap table through three rounds, size an option pool that is created before Series A, and see how much the founders keep.
- Run the exit waterfall for a Series A investor at four exit values, with MIN and MAX, for non-participating and participating preferred.
- Convert a convertible note and a SAFE into Series A shares, choosing the better of the valuation cap and the discount.
- Calculate a fund's management fees and split USD 420m of exit proceeds between LPs and the GP in a whole-fund (European) waterfall.
- Measure an LP's stake in a growth fund with DPI, RVPI and TVPI and calculate the net IRR from dated cash flows with XIRR.
- Build an LP's J-curve for a USD 100m commitment and find its trough, the peak capital at risk and the break-even year.
- Analyse a 12-company venture portfolio and measure how much of the return comes from its single best deal.
About this course
Founders, early employees and junior investors all benefit from understanding how venture and private equity numbers work. This course covers both the company and the fund side. You value a startup with the VC method from exit value back to pre-money, then follow dilution through seed, Series A and Series B rounds with an option pool. Liquidation preference labs compare participating and non-participating terms, and convertible notes and SAFEs are converted under caps and discounts. On the fund side you calculate management fees, hurdle and carried interest, measure performance with DPI, RVPI, TVPI and XIRR and chart the J-curve. A final lab shows how one outlier deal can return an entire fund. Educational only.
