About this course

Buying an existing business starts with one question: what are the real earnings, and what price can they support? This course works through it. You normalise reported profit into seller's discretionary earnings and adjusted EBITDA, apply multiples to set a valuation range and cross-check against asset value with a working-capital peg. Deal structure combines cash, a seller note and an earn-out, and debt service coverage shows how much financing the earnings can carry. You calculate the buyer's cash-on-cash return and payback, weigh earn-out scenarios by probability and finish with a quick discounted cash flow cross-check.
